Welcome to dypt, a web application developed and managed by Poyzer Tech Limited, that is designed to help you organise your life and keep track of your tasks.

1. Governing Law and Language

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

These Terms of Service, and any correspondence or communications regarding the Service, are to be conducted in the English language. Any translations provided are for convenience only and the English version shall govern in the case of any discrepancy or difference in interpretation. Users must ensure that they understand the Terms, and any queries regarding the language should be addressed before acceptance.

2. Acceptance of Terms

By accessing and using dypt (located at https://dypt.app and hereinafter referred to as the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Poyzer Tech Limited, the company that operates dypt.

Any references to we, us, our, or Poyzer Tech Limited refer to the company that operates dypt. Any references to you or your refer to you as a user of the Service.

If you do not agree with any part of the terms then you do not have permission to access the Service.

3. Account Registration and Use

To use the Service, you may be required to create an account. You agree to provide accurate and complete information when you register with, and as you use, the Service, and you agree to update your account information to keep it accurate and complete.

You are responsible for maintaining the confidentiality of your account security and signin details and for all activities that occur under your account.

If you discover or suspect any unauthorised use of your account or that your account security has been compromised, please let us know as soon as possible by emailing us at support@dypt.app.

5. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Poyzer Tech Limited and its licensors.

6. Age Requirement

The Service is not intended for use by individuals under the age of 18. By using the Service, you represent that you are at least 18 years old.

Accounts created by individuals under the age of 18 will be terminated without notice.

7. User Obligations

You agree not to use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.

8. User Conduct

You agree to conduct yourself in a responsible and legal manner while using the Service.

You shall not:

  • Engage in any unlawful or fraudulent activity or perpetrate a hoax or engage in phishing schemes or forgery or other similar falsification or manipulation of data;
  • Defame, harass, abuse, threaten, or defraud others, or collect, or attempt to collect, personal information about users or third parties without their consent;
  • Transmit any material that may infringe the intellectual property or other rights of third parties.

9. Content Licensing and Ownership

You retain ownership of any and all content that you submit, post, or display on or through the Service ("User Content"). This includes content that constitutes personal tasks, notes, and any other material you provide to the Service.

Unless you make the decision to share this content with other users or to make it public, your User Content remains private and will not be visible to anyone else. When you choose to share User Content publicly or with specific users, you grant Poyzer Tech Limited, the operator of dypt, a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display such shared User Content on the Service as enabled by the functionality of the Service and as per your instructions.

Poyzer Tech Limited will not use, reproduce, or share your private User Content externally or with other users without your explicit consent. However, for the operation and maintenance of the Service, you grant Poyzer Tech Limited a worldwide, non-exclusive, royalty-free license to access, use, process, and display your User Content to the extent necessary to provide the Service in a secure and efficient manner.

You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the above licenses to Poyzer Tech Limited for all User Content you provide.

10. User-Generated Content

Content Standards

Users are solely responsible for the content they generate while using the Service and must comply with all applicable laws and regulations. Poyzer Tech Limited does not endorse any user-generated content, and expressly disclaims any and all liability in connection with user-generated content.

Content Removal

Poyzer Tech Limited reserves the right, but not the obligation, to review, screen, and remove User Content at our discretion, at any time, without notice, and for any reason. We may also remove or refuse to distribute any User Content on the Service, limit distribution or visibility of any User Content on the service, suspend or terminate users, and reclaim usernames without liability to you.

The Service may contain links to third-party websites or services that are not owned or controlled by Poyzer Tech Limited. Poyzer Tech Limited has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You further acknowledge and agree that Poyzer Tech Limited shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

12. Data Backup

The user acknowledges that it is their responsibility to frequently save and backup their data and information used in conjunction with the Service. While Poyzer Tech Limited undertakes reasonable efforts to ensure the security and integrity of the Service, it does not guarantee that backups of any User Content will be made at any particular time or will be available for restoration.

Poyzer Tech Limited is not responsible for any loss of User Content or the backup thereof or for any costs associated with backing up or restoring any User Content. Users are advised to regularly backup their User Content that is stored on the Service to their own local system or a personal cloud storage service.

13. Third-Party Service Providers

The Service utilizes various third-party services to provide the necessary hardware, software, networking, storage, and related technology required to run the app and process payments.

By using the Service, you acknowledge and consent that the Service may provide your data as necessary for the third party to provide these services. These third-party services are responsible for their own terms and conditions and privacy policies, and we recommend that you read these carefully.

Poyzer Tech Limited is not responsible for the operation or functionality of such third-party services and will not be liable for any loss or damage caused by these third-party services.

14. Use of Artificial Intelligence

AI Generated Content

The Service employs artificial intelligence (AI) algorithms to generate tasks and provide suggestions to enhance user productivity and experience. While we strive to ensure that AI generated content is relevant and useful, Poyzer Tech Limited cannot guarantee the accuracy, completeness, or appropriateness of any tasks or content generated by AI.

You acknowledge that AI generated content is provided for informational purposes only and should not be considered as professional advice. Users are encouraged to verify the accuracy and relevance of AI generated tasks before acting on them.

User Discretion

Users should review and consider AI generated tasks carefully before acting on them. It is the user's responsibility to ensure that any AI generated tasks are appropriate for their circumstances. Poyzer Tech Limited is not responsible for any actions taken, or not taken, based on AI generated content.

No Liability

Poyzer Tech Limited disclaims all liability for any inaccuracies, errors, or inappropriateness of AI generated content. Furthermore, users agree not to rely solely on AI generated tasks for critical decision-making and acknowledge that such content is provided "as is" and "as available," without warranties of any kind.

Changes and Improvements

Poyzer Tech Limited reserves the right to modify, improve, or discontinue the AI features at any time, without prior notice, as part of our ongoing efforts to enhance the Service.

15. Refund and Cancellation Policy

Cancellation of Free Plan

Users subscribed to the free 'Starter' plan of the Service can delete their account at any time. No financial refund is applicable to users of this plan as no charges are incurred by the user for its use.

Cancellation and Refunds for Paid Plans

We offer a generous 14-day refund policy for users subscribed to our paid plans.

Modifications to the Subscription

We reserve the right to modify or change the subscription fees for our plans at any time. We will provide advance notice of any such changes. Your continued use of the Service after the fee change comes into effect constitutes your agreement to pay the modified subscription fee amount.

16. Warranties and Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Poyzer Tech Limited does not warrant that the Service will be uninterrupted, secure, or free from errors.

17. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Where this happens, you will be notified via email and will be able to request a copy of your data within 30 days of the termination date. After this period, your data will be permanently deleted from our servers.

If you wish to terminate your account, you may simply discontinue using the Service, delete your account via the Service, or contact us at support@dypt.app.

18. Modification of Service

Poyzer Tech Limited reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Poyzer Tech Limited shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

Wherever practicable, we will try to give you reasonable notice of any major changes and will endeavour to provide users with a reasonable period of time to download their data before any such changes come into effect.

19. Limitation of Liability

Nothing in these Terms will limit or exclude Poyzer Tech Limited's liability for:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation;
  • Any matter for which it would be unlawful for us to exclude or attempt to exclude our liability.

Subject to the foregoing, Poyzer Tech Limited, including its directors, employees, partners, agents, suppliers, or affiliates have liability limited to the maximum extent permitted by law and will not be liable for:

  • Any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses;
  • Any loss or damage which may be incurred by you, including but not limited to loss or damage as a result of any reliance placed by you on the completeness, accuracy, or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertising appears on the Service;
  • Any change which Poyzer Tech Limited may make to the Service, or for any permanent or temporary cessation in the provision of the Service (or any features within the Service);
  • The deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the Service.

These limitations of liability apply whether the claims are asserted in contract, tort (including negligence), or any other legal theory, and even if Poyzer Tech Limited has been advised of the possibility of such damage. However, this will not affect any liability which cannot be excluded or limited under applicable law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Poyzer Tech Limited and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account; or b) a breach of these Terms.

21. Force Majeure

Poyzer Tech Limited shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond dypt’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference).

Events Beyond Control

Such events may include, but are not limited to, natural disasters, terrorism, war, armistice, civil disorder, the unavailability of the internet, technical failures, or any unauthorized access to dypt’s IT systems by a third party.

22. Severability

If any provision of these Terms is deemed invalid, illegal, or unenforceable for any reason, then that provision shall be modified to reflect the parties' intention or eliminated to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

23. Dispute Resolution

In the unlikely event that Poyzer Tech Limited and you have a dispute, we will try to resolve it by talking to each other. If we can't resolve it that way, we both agree to binding individual arbitration in the United Kingdom and not to sue in court in front of a judge or jury.

24. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

We will notify you of any changes by posting the new Terms on this page.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

25. Entire Agreement

These Terms, including any legal notices and disclaimers contained on this Service, constitute the entire agreement between Poyzer Tech Limited and you in relation to your use of this Service, and supersede all prior agreements and understandings with respect to the same.
